Terms & Conditions

These Terms & Conditions govern your access to and use of the Game Axiom website, public registration flows, software, applications, and related sports league management services (collectively, the "Services").

By accessing or using the Services, you agree to these Terms. If you access or use the Services on behalf of a league, club, association, organization, team, or other entity, you represent that you have authority to bind that entity, and "you" includes both you and that entity.

If you or your organization have entered into a separate written agreement with Game Axiom covering specific Services, that agreement will control to the extent it conflicts with these Terms for those Services.

You may use the Services only if you can form a binding contract with Game Axiom and only in compliance with applicable law. If you create or administer an account, you must provide accurate information and keep it current.

You are responsible for maintaining the confidentiality of account credentials, managing administrator access, and all activity that occurs under your account or your organization's account. Notify us promptly if you believe credentials have been compromised or an account has been accessed without authorization.

Game Axiom provides software and related services for sports organizations, including registration, scheduling, rosters, payments, waivers, communications, reporting, and public website features.

Certain parts of the Services, including hosting, communications, support, payment processing, or similar operational functions, may be performed by service providers acting on Game Axiom's behalf.

Subject to these Terms, Game Axiom grants you a limited, non-exclusive, revocable, non-transferable right to access and use the Services for your internal business, league, and organization operations. Except as expressly permitted by these Terms or a separate written agreement with us, you may not copy, resell, sublicense, or otherwise exploit the Services.

Game Axiom and its licensors own the Services, including the software, design, content, branding, text, graphics, and other materials we make available through the Services, excluding Organization Content as defined below.

If you send us suggestions, ideas, or feedback about the Services, you agree that we may use that feedback without restriction or obligation to you.

You are responsible for the data, documents, roster information, registration details, waivers, messages, branding assets, and other content submitted through the Services ("Organization Content").

You represent that you have all rights, notices, permissions, and consents necessary to collect, submit, and use Organization Content through the Services, including any participant, parent, guardian, coach, volunteer, staff, or other member information that your organization provides to Game Axiom.

If Organization Content includes information, images, video, or other content relating to minors, you are responsible for obtaining any legally required parent or guardian consent, providing any required notices, and honoring valid requests that content be corrected, removed, or no longer shared where required by law.

You retain ownership of Organization Content. You grant Game Axiom a non-exclusive, worldwide, royalty-free license to host, copy, process, transmit, display, format, and make technical adaptations to Organization Content solely as needed to provide, support, secure, and improve the Services.

You may not:

• Reverse engineer, decompile, or attempt to extract source code from the Services except where prohibited by law
• Use the Services in violation of law, regulation, card network rules, or the rights of others
• Submit data or content that you do not have authority to collect, use, or share
• Upload malicious code, harmful content, or material that violates privacy, publicity, intellectual property, or other legal rights
• Interfere with the security, availability, integrity, or proper operation of the Services
• Access the Services through scraping, bots, or other unauthorized automated means
• Use the Services to build a competing product or service

Certain Services involve registration fees, invoices, refunds, credits, payment processing, messaging, authentication, and similar functionality that may be provided or supported in part by third-party providers.

You are responsible for the accuracy of payment setup, fee rules, refund rules, tax or reporting obligations, and organization-facing financial settings you configure. Third party provider terms may also apply, and Game Axiom is not responsible for third-party services that we do not control.

Fees, pricing models, billing terms, and payment obligations for Game Axiom products and services are governed by the pricing terms, order forms, statements of work, or other commercial terms agreed between Game Axiom and the applicable organization.

Unless otherwise expressly stated in those commercial terms or required by law, fees paid to Game Axiom are non-refundable.

Your use of the Services is also subject to our Privacy Policy. Where Game Axiom provides software to organizations that collect participant, parent, guardian, coach, staff, volunteer, or similar information, those organizations are responsible for their own notices, permissions, and compliance obligations in relation to the data they collect and submit.

Game Axiom may act as a service provider or processor for certain data handled on behalf of customer organizations, depending on the specific context, service configuration, and applicable law.

Where you or your organization control Organization Content submitted through the Services, you remain responsible for responding to lawful complaints, objections, access requests, correction requests, deletion requests, or similar legal claims relating to that Organization Content, except to the extent applicable law or a separate written agreement assigns those responsibilities differently.

We may update, improve, suspend, or discontinue features from time to time. We do not guarantee that the Services will be uninterrupted, error-free, or available at all times.

We may modify these Terms from time to time by posting an updated version to the site. If you continue using the Services after the updated Terms become effective, you agree to the revised Terms.

We may suspend or terminate access to the Services if you or your organization breach these Terms, create security or legal risk, misuse the Services, fail to pay applicable fees when due, or otherwise engage in conduct we reasonably determine is harmful to Game Axiom, other customers, or participants.

Upon termination, your right to access and use the affected Services will end, except for any rights and obligations that by their nature survive termination.

To the extent permitted by law, you will defend, indemnify, and hold harmless Game Axiom and its affiliates, officers, employees, contractors, and licensors from claims, losses, damages, liabilities, and expenses, including reasonable attorneys' fees, arising out of or related to your Organization Content, your use of the Services, your violation of these Terms, or your violation of law or the rights of a third party.

To the maximum extent permitted by law, the Services are provided on an "as is" and "as available" basis. Game Axiom disclaims all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

The Services are not a backup or archive service, and you are responsible for maintaining copies of Organization Content or records that are important to your organization.

We do not warrant that the Services will meet every requirement of your organization, or that every registration, payment, message, roster, or schedule workflow will be error free or uninterrupted.

To the maximum extent permitted by law, Game Axiom and its affiliates, officers, employees, contractors, and licensors will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenue, business, data, goodwill, or anticipated savings arising out of or related to the Services or these Terms.

To the maximum extent permitted by law, Game Axiom's total liability arising out of or related to the Services or these Terms will not exceed the amount paid to Game Axiom for the applicable Services giving rise to the claim during the twelve months preceding the event giving rise to the claim. If no fees were paid for the applicable Services, Game Axiom's total liability will not exceed one hundred U.S. dollars (US $100).

If you or your organization have a separate written agreement with Game Axiom, that agreement controls with respect to governing law, venue, and dispute handling for the Services covered by that agreement.

Otherwise, these Terms are governed by the laws of the State of New York, without regard to conflict of law rules, and any dispute arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in New York, New York, except to the extent applicable law requires otherwise.
